Welcome to SkirnPort. These Terms and Conditions ("Terms") govern your use of the SkirnPort website (https://skirnport.com) and the video production services provided by SkirnPort ("Services").

Please read these Terms carefully before using our website or engaging our Services. By accessing or using our website, or by contracting for our Services, you agree to be bound by these Terms. If you do not agree to all the Terms, please do not use our website or Services.

1. Acceptance of Terms

By accessing our website or contracting for our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

We reserve the right to change these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the website or Services after any such changes constitutes your acceptance of the new Terms.

2. Definitions

In these Terms, the following definitions apply:

  • "Account" means the account created by a User to access and use the Services.
  • "Content" means any text, graphics, images, music, software, audio, video, information, or other materials appearing on or through the Services.
  • "Order" means a request to purchase Products through the Services.
  • "Products" means the fruits, vegetables, and other items offered for sale through the Services.
  • "Subscription" means a recurring Order for Products at specified intervals.
  • "User" means an individual who accesses or uses the Services.
  • "User Content" means any Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Services.

3. Account Registration and Use

3.1 Account Creation

To use certain features of our Services, you may need to register for an Account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for safeguarding your password and for all activities that occur under your Account. You agree to notify us immediately if you suspect any unauthorized use of your Account.

3.2 Age Requirement

You must be at least 18 years old to create an Account and use our Services. By creating an Account, you represent and warrant that you are at least 18 years old.

3.3 One Account Per User

You may not create more than one Account without our express permission. We reserve the right to terminate any duplicate Accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your Account at any time for any reason, including but not limited to violation of these Terms. You may also terminate your Account at any time by contacting our customer service.

4. Services

4.1 Service Description

SkirnPort provides professional video production services, including but not limited to corporate videos, event coverage, commercials, wedding films, and documentaries. The specific details of the Services to be provided will be outlined in a separate service agreement or proposal agreed upon by both parties.

4.2 Service Availability

SkirnPort provides Services primarily in France but may offer Services in other locations upon agreement. Service availability is subject to scheduling and resource constraints. We reserve the right to refuse service to anyone for any reason at any time.

4.3 Third-Party Services

We may engage third-party service providers to assist in providing the Services. You acknowledge and agree that these third parties may have access to your information as needed to perform their functions.

5. Contracts and Payments

5.1 Service Agreements

All Services provided by SkirnPort will be governed by a separate service agreement or proposal, which will outline the specific scope, deliverables, timeline, and pricing for the Services. These Terms will apply in addition to any terms specified in the service agreement.

5.2 Quotes and Proposals

Quotes and proposals provided by SkirnPort are valid for 30 days from the date of issue, unless otherwise specified. We reserve the right to revise quotes if the project scope changes.

5.3 Deposits and Payment Terms

Unless otherwise specified in the service agreement:

  • A non-refundable deposit of 50% of the total project fee is required to secure a booking and commence work.
  • The remaining balance is due upon completion of the Services and prior to the delivery of final deliverables.
  • For projects exceeding €5,000, an installment payment plan may be arranged.

5.4 Late Payments

Late payments may incur interest charges at a rate of 2% per month or the maximum rate permitted by law, whichever is less. We reserve the right to withhold deliverables until full payment is received.

5.5 Expenses

Additional expenses such as travel, accommodation, equipment rental, location fees, and other project-related costs will be invoiced separately unless explicitly included in the service agreement.

6. Cancellations and Rescheduling

6.1 Client Cancellation

If you cancel a confirmed booking:

  • More than 30 days before the scheduled shoot date: The deposit is non-refundable, but may be applied to a future project within 6 months, subject to availability.
  • 15-30 days before the scheduled shoot date: 50% of the total project fee is payable.
  • Less than 15 days before the scheduled shoot date: 100% of the total project fee is payable.

6.2 Rescheduling

Requests to reschedule a confirmed booking:

  • More than 30 days before the scheduled shoot date: No fee, subject to availability.
  • 15-30 days before the scheduled shoot date: 25% rescheduling fee, subject to availability.
  • Less than 15 days before the scheduled shoot date: 50% rescheduling fee, subject to availability.

6.3 SkirnPort Cancellation

In the rare event that SkirnPort must cancel a booking due to unavoidable circumstances (such as illness, equipment failure, or force majeure events), we will:

  • Attempt to provide a suitable replacement videographer of equivalent skill; or
  • Reschedule the shoot at no additional cost; or
  • Provide a full refund of any payments made.

7. Production and Delivery

7.1 Production Timeline

The production timeline will be outlined in the service agreement. Typical delivery timeframes are:

  • Corporate Videos: 3-6 weeks from shoot date
  • Event Coverage: 2-4 weeks from shoot date
  • Wedding Films: 8-12 weeks from shoot date
  • Commercials: 4-8 weeks from shoot date
  • Documentaries: 8-16 weeks from shoot date

These timeframes are estimates and may vary based on project complexity, client feedback cycles, and current workload.

7.2 Client Review and Revisions

Unless otherwise specified in the service agreement:

  • Clients will receive a draft version for review before final delivery.
  • Two rounds of reasonable revisions are included in the quoted price.
  • Additional revisions or substantial changes to the approved concept may incur additional charges.

7.3 Final Delivery

Final deliverables will be provided in the format specified in the service agreement. Standard delivery methods include:

  • Digital download via a secure link
  • USB drive (additional charge may apply)
  • Hard drive for large projects (additional charge may apply)

7.4 Project Archiving

SkirnPort will maintain an archive of completed projects for a period of 6 months after delivery. After this period, files may be deleted. If you require longer-term storage or access to raw footage, this must be specified in the service agreement and may incur additional charges.

8. Intellectual Property

8.1 Ownership of Content

Unless explicitly stated otherwise in the service agreement:

  • Upon full payment, the client will receive a license to use the final deliverables for their intended purpose.
  • SkirnPort retains ownership of all raw footage, project files, and materials created during production.
  • SkirnPort retains the copyright to all video content produced.

8.2 Client License

Upon full payment, clients receive a non-exclusive, perpetual license to use the final deliverables for the purposes specified in the service agreement. This typically includes:

  • Display on client websites, social media, and digital platforms
  • Use in presentations and internal communications
  • Broadcast or streaming (if specified in the service agreement)

Additional usage rights may be negotiated and specified in the service agreement.

8.3 SkirnPort Portfolio Rights

Unless explicitly prohibited in the service agreement, SkirnPort reserves the right to:

  • Use portions of the completed work in our portfolio, showreel, and marketing materials
  • Submit the work for awards and recognition
  • Display the client's name and logo as a client reference

For confidential projects, these rights may be modified in the service agreement.

8.4 Third-Party Content

If the project incorporates third-party content (such as stock footage, music, or images):

  • SkirnPort will secure appropriate licenses for the agreed usage
  • Clients are responsible for securing rights to any materials they provide
  • Additional licensing fees may apply for extended usage

9. Confidentiality

SkirnPort acknowledges that in the course of providing Services, we may have access to confidential information. We agree to:

  • Maintain the confidentiality of all non-public information disclosed during the project
  • Use such information only for the purpose of providing the Services
  • Not disclose confidential information to third parties without prior consent

For projects requiring heightened confidentiality, a separate non-disclosure agreement may be executed.

10. Limitation of Liability

10.1 Professional Liability

SkirnPort will perform the Services with reasonable skill and care. However, we cannot guarantee that the Services will meet your specific expectations or requirements.

10.2 Equipment and Technical Failures

While SkirnPort takes all reasonable precautions (including using professional equipment, backup systems, and redundant workflows), we cannot guarantee against equipment failure or technical issues. In the event of data loss due to equipment failure:

  • For standard shoots: We will refund the portion of fees corresponding to the affected Services
  • For non-repeatable events (such as weddings): Our liability is limited to a full refund of fees paid

10.3 Force Majeure

SkirnPort shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic restrictions, severe weather, civil unrest, terrorism, labor disputes, or government regulations.

10.4 Limitation of Damages

In no event shall SkirnPort be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if SkirnPort has been informed of the possibility of such damage.

SkirnPort's total cumulative liability for any claims arising out of or related to these Terms or the Services shall not exceed the total amount paid by you to SkirnPort for the Services at issue.

11. Indemnification

You agree to indemnify, defend, and hold harmless SkirnPort and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from:

  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Your use or misuse of the Services
  • Your content or materials provided for the project that infringe on third-party rights

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved as follows:

  1. Informal Resolution: The parties shall attempt in good faith to resolve any dispute through informal negotiations.
  2. Mediation: If informal negotiations fail, the parties agree to participate in mediation in accordance with the rules of the International Chamber of Commerce (ICC).
  3. Arbitration: If mediation is unsuccessful, the dispute shall be submitted to binding arbitration in Paris, France, in accordance with the ICC Rules of Arbitration.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Services.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with any service agreement and the Privacy Policy, constitute the entire agreement between you and SkirnPort regarding the Services and supersede all prior agreements and understandings, whether written or oral.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.3 No Waiver

The failure of SkirnPort to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without SkirnPort's prior written consent. SkirnPort may assign these Terms without restriction.

13.5 Notice

Any notices or other communications provided by SkirnPort under these Terms will be given by posting to the website or by email to the address you provide.
